Terms of Service
These Terms of Service ("Terms") govern access to and use of the Receptra AI voice receptionist and business management platform (the "Service"), provided by Receptra Technologies FZE ("Receptra," "we," "us," or "our"). By signing up for or using the Service, you ("Client," "you") agree to these Terms.
1. The Service
Receptra provides an AI voice receptionist ("Sara") that answers phone calls on behalf of HVAC service businesses, along with a business management platform for scheduling, leads, quotes, invoices, technician management, and reporting. Certain features (SMS confirmations, technician field app, payment processing via Stripe) are available depending on your subscription plan.
2. Eligibility and account registration
- The Service is intended for use by businesses, not individual consumers.
- You must provide accurate business and contact information when signing up.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account, including team member accounts you create.
- You must be legally authorized to act on behalf of the business you register.
3. Subscription plans, billing, and trials
- The Service is offered on subscription plans described on our pricing page, which may include usage-based components (e.g., call minutes beyond an included allowance).
- New accounts may start with a free trial period. At the end of the trial, continued use requires an active paid subscription unless otherwise stated.
- Subscription fees are billed in advance on a recurring basis via Stripe. Overage charges (e.g., minutes beyond your plan's allowance) are billed as incurred.
- Fees are non-refundable except where required by law or expressly stated otherwise.
- We may suspend access for accounts with failed or overdue payments after reasonable notice.
4. Your responsibilities — calling and messaging compliance
You are responsible for ensuring your use of the Service — including any calls handled by Sara and any SMS messages sent through the platform — complies with applicable US law, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act (where applicable), state call-recording and consent laws, and any industry-specific regulations that apply to your business. This includes ensuring you have appropriate consent before sending marketing communications and honoring opt-out (STOP) requests promptly.
5. Acceptable use
You agree not to use the Service to:
- Send unsolicited marketing messages in violation of applicable law.
- Harass, defraud, or deceive callers or customers.
- Upload or transmit unlawful, infringing, or harmful content.
- Attempt to reverse-engineer, resell, or white-label the Service without our written consent.
- Interfere with the security or normal operation of the Service.
6. Data and privacy
Our collection and use of information in connection with the Service is described in our Privacy Policy. As between you and Receptra, data you and your customers generate through the Service (call records, appointments, quotes, invoices, etc.) belongs to you, and we act as a service provider processing it on your behalf.
7. Third-party services and payments
The Service relies on third-party providers (voice AI, text-to-speech, automation, cloud storage, SMS delivery, and payment processing via Stripe) to operate. If you use the Service's invoicing features to collect payment from your own customers via Stripe Connect, you are separately bound by Stripe's terms for that connected account, and you are responsible for the accuracy of invoices you send and applicable sales tax or similar obligations.
8. Intellectual property
Receptra retains all rights, title, and interest in the Service, including the underlying software, the voice agent, and platform design. These Terms do not grant you any right to use Receptra's trademarks or branding except as necessary to use the Service as intended.
9. Disclaimers
The Service is provided "as is" and "as available." While we work to ensure Sara accurately handles calls and the platform operates reliably, we do not guarantee the Service will be uninterrupted, error-free, or that every call will be handled exactly as a human receptionist would. You remain responsible for reviewing appointments, quotes, and other business-critical information generated through the Service.
10. Limitation of liability
To the maximum extent permitted by law, Receptra will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue, arising from your use of the Service. Our total liability for any claim arising from the Service will not exceed the fees you paid us in the three (3) months preceding the claim.
11. Indemnification
You agree to indemnify and hold Receptra harmless from claims arising out of your misuse of the Service, your violation of these Terms, or your violation of applicable law (including TCPA or messaging-consent violations caused by your own business practices).
12. Termination
You may cancel your subscription at any time through the platform or by contacting us. We may suspend or terminate access for violation of these Terms, non-payment, or suspected fraudulent or abusive use.
13. Governing law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, and both parties consent to personal jurisdiction and venue there.
14. Changes to these Terms
We may update these Terms from time to time. Continued use of the Service after an update constitutes acceptance of the revised Terms. Material changes will be reflected by updating the "Last updated" date above.
